Welcome to https://kykp.co.uk (the “Site”). These Terms and Conditions (“Terms”) govern your use of our website and the provision of commercial services and associated hardware solutions—including Web & Digital Development, Creative & Brand Design, Digital Marketing, Traditional Marketing, Managed IT & Infrastructure, Telecoms & Business Connectivity, and Professional Advisory Services—by KYKP LTD (“we”, “our”, or “us”).
Please read these Terms carefully before engaging our services, ordering hardware, or using our Site. By accessing our Site, accepting a formal proposal, or purchasing services or products from us, you agree to be bound by these Terms. If you do not agree to all these Terms, you must not use our Site or engage our services.
Commercial Use Only: Our services, consulting, hardware provisioning, and digital solutions are intended strictly for trade, commercial, corporate, and professional business customers (B2B). By engaging our services or placing an order, you warrant that you are acting in the course of a business, trade, or profession and not as an individual consumer.
Account & Portal Responsibility: If you create an account or access a client portal on our Site, you are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.
Contract Formation: Any quotation, statement of work (SOW), or proposal issued by KYKP LTD does not constitute a binding unilateral offer. A legally binding contract comes into existence only upon our formal written acceptance (e.g., countersigned SOW, order confirmation, or invoice issuance) or upon the commencement of service delivery.
Scope of Services: All projects and managed service provisions are governed by the specific deliverables, milestones, and specifications outlined in the agreed proposal or invoice. Any modifications or out-of-scope work requested by the client will be subject to additional fees and written agreement.
Availability & Third-Party Dependencies: Service delivery schedules, cloud provisioning, and hardware fulfillment are subject to availability and third-party vendor networks (e.g., hosting providers, software licensors, telecommunications carriers). We reserve the right to decline or amend orders where technical conflicts, pricing inaccuracies, or vendor disruptions occur.
VAT & Taxes: All prices, rates, and retainers quoted on the Site, in proposals, or via invoices are exclusive of Value Added Tax (VAT), unless explicitly indicated otherwise. VAT will be added at the prevailing UK statutory rate upon invoicing.
Payment Terms: Payment terms for services, recurring subscriptions/retainers, and hardware procurement are strictly net upon invoice receipt or within 14 calendar days of the invoice date, unless alternative credit or milestone payment terms have been formally agreed in writing by KYKP LTD.
Hardware & Direct Procurement: Any IT hardware, telecom units, or print procurement orders must be paid in full prior to order placement or dispatch, unless an authorized credit facility is in place.
Late Payments: In the event of non-payment by the due date, KYKP LTD reserves the right to charge statutory interest and debt recovery costs on overdue commercial balances pursuant to the Late Payment of Commercial Debts (Interest) Act 1998. Continued non-payment may result in the immediate suspension of active IT support, cloud services, web hosting, marketing campaigns, or recurring project deliverables.
Hardware Delivery: Delivery dates for procured IT equipment, telecoms hardware, or printed collateral are estimates. KYKP LTD shall not be liable for direct or indirect losses resulting from logistics delays outside our reasonable control.
Risk and Retention of Title: Risk in any physical goods passes to the client upon delivery. Legal title to hardware or physical goods remains with KYKP LTD until full payment of all sums owed has cleared.
Software & Cloud Licensing: All software, SaaS platforms, cloud environments (such as Microsoft 365), and telecom lines are provided subject to their respective vendor end-user license agreements (EULAs).
Cooperation & Approvals: You agree to provide all necessary assets, copy, credentials, technical access, and project sign-offs in a timely manner. Delays in providing necessary feedback or assets may result in project schedule adjustments.
Inspection & Acceptance: Clients must review delivered digital assets, web builds, printed collateral, or hardware installations promptly. Any defects, shortages, or discrepancies must be notified to KYKP LTD in writing via info@kykp.co.uk within 5 business days of delivery or milestone completion. Failure to notify us within this period constitutes formal acceptance of the deliverable.
Site Materials: All website content, branding, UI designs, code, graphics, and materials displayed on [https://kykp.co.uk](https://kykp.co.uk) are the proprietary property of KYKP LTD or its licensors and are protected under UK and international copyright laws.
Client Deliverables: Upon receipt of full payment for completed projects, client-specific design assets, custom website code, and tailored brand deliverables shall transfer to the client as stipulated in the relevant SOW. KYKP LTD retains all proprietary rights over pre-existing code libraries, framework components, internal tools, and preliminary conceptual designs.
Exclusion of Consequential Losses: To the maximum extent permitted by the laws of England and Wales, KYKP LTD shall not be liable for any indirect, special, incidental, or consequential loss (including loss of profits, commercial interruption, lost business data, loss of anticipated revenue, or goodwill) arising out of or in connection with our services, software, marketing campaigns, or IT infrastructure.
Financial Cap on Liability: Our total aggregate liability to you under or in connection with these Terms—whether sounding in contract, tort (including negligence), breach of statutory duty, or otherwise—shall be strictly limited to the total net fee received by KYKP LTD for the specific service, invoice, or statement of work giving rise to the claim.
Statutory Exceptions: Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation, or any other liability that cannot be excluded by English law.
Both parties agree to keep confidential all proprietary commercial, technical, and operational information disclosed during the relationship. Each party warrants that it complies with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018 in handling any commercial contact details or processed business data.
These Terms and Conditions, alongside any disputes or claims arising out of or in connection with them (including non-contractual disputes or claims), shall be governed by and construed in accordance with the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction to settle any dispute or legal claim.
